Delays or failure to meet these responsibilities may impact results and timelines.
4. Payment Terms
All payments are due as outlined in the service agreement or invoice. UFOSL reserves the right to pause or terminate services for late or unpaid invoices.
Late payments may be subject to additional fees or interest charges.
5. Intellectual Property
All content, strategies, designs, and deliverables created by UFOSL remain the property of UFOSL until full payment is received. After payment, applicable rights will transfer to the client as agreed.
UFOSL retains the right to showcase non-confidential work in our portfolio or case studies unless otherwise agreed in writing.
6. Confidentiality
Both parties agree to keep all confidential information shared during the course of the project private and secure, and not to disclose it to third parties without written consent.
7. Results Disclaimer
While UFOSL follows industry best practices, we do not guarantee specific rankings, traffic levels, or ROI. Digital marketing performance can vary based on external factors beyond our control (e.g. algorithm updates, competition, industry trends).
8. Termination
Either party may terminate services with written notice. Upon termination:
- All unpaid fees must be settled
- Any in-progress work may be billed proportionally
- Access to deliverables may be revoked until final payment is received
9. Limitation of Liability
UFOSL shall not be liable for any indirect, incidental, or consequential damages arising out of the use of our services. Our total liability shall not exceed the amount paid for services within the past 90 days.
10. Governing Law
These Terms are governed by and construed in accordance with the laws of [SriLanka], without regard to its conflict of law principles.
11. Modifications
UFOSL may update these Terms at any time. Updates will be posted on this page, and continued use of our services after changes are posted will constitute acceptance of those changes.
